The quote becomes binding through the Client's written confirmation that they accept the proposed terms (email, message) or through payment of the advance specified in the quote. Nexium reserves the right to modify or withdraw a quote before formal acceptance.
3.3 The guaranteed fixed price
Once the quote is accepted, the price is fixed and guaranteed. No additional costs are charged beyond the agreed amount, except where the Client requests significant changes to the initially agreed specifications, in which case a separate additional quote will be issued and approved by the Client before implementation.
4. Payment and invoicing
4.1 Payment structure
Projects are usually invoiced as follows:
- 50% advance — on acceptance of the quote and before work begins
- Remaining 50% — on completion of the project, before access to the production environment is handed over
The exact structure may vary depending on the type and complexity of the project and will be specified in the individual quote.
4.2 Payment methods
Payment can be made by bank transfer, bank card or other methods agreed by both parties. The tax invoice is issued in accordance with Romanian legislation in force.
4.3 Late payments
If amounts due are not paid within the agreed period, Nexium reserves the right to suspend access to the website or to interrupt the provision of services until the situation is settled. Nexium shall not be liable for any damage caused by this suspension.
4.4 Refunds
The advance paid is non-refundable if the Client withdraws from the project after work has begun, except where Nexium fails to comply with the specifications agreed in the quote.
5. Delivery deadlines
Delivery deadlines are specified in the individual quote and represent a commitment by Nexium to the Client. Nexium makes every effort to meet the agreed deadlines.
Deadlines may be affected by:
- Delays by the Client in providing content, materials or feedback
- Significant changes to the specifications requested by the Client during the project
- External factors beyond Nexium's control (force majeure)
If a deadline is exceeded through Nexium's sole fault, the Client will be promptly notified and a new deadline agreed by both parties will be set.

The affected party is obliged to notify the other party within 5 business days of the occurrence of the event and to make efforts to limit its effects.
13. Changes to the terms
Nexium Web reserves the right to modify these Terms and Conditions at any time. The updated version will be published on this page with the date of the change.
Continued use of the website or services after the changes are published constitutes acceptance of the new terms. For ongoing projects, the applicable terms are those in force at the time the quote was accepted.
